OTHER EVENTS In October of 2001, Teachers for Truth in Advertising filed an action in the Superior Court of Tulare County, California alleging that Cell Tech Products, Inc. engaged in unfair business practices and misleading advertising. In January 2003, the Superior Court of Tulare County issued a Tentative Decision stating that Teachers for Truth in Advertising was entitled to an injunction prohibiting Cell Tech from making deceptive representations in its advertising or literature disseminated in California and ordering Cell Tech to refund the purchase price paid by California customers for Cell Tech's algae products from the date four years prior to the filing of the action through the trial date in November of 2002. In response to the Tentative Decision, Cell Tech's counsel filed a Request for Statement of Decision on January 23, 2003. On February 20, 2003, the Superior Court issued its Final Decision, which essentially affirms the Tentative Decision. Plaintiff has submitted a proposed judgment to the court consistent with the Tentative and Final Decisions. Upon entry of judgment, Cell Tech intends to file post-judgment motions and an appeal. The refund to California customers, if required to be made in accordance with the Final Decision, will be in an amount that would have a material adverse impact on Cell Tech's business and financial position. <PAGE> SIGNATURE Pursuant to the requirements of the Securities Exchange Act of 1934, the registrant has duly caused this report to be signed on its behalf by the undersigned hereunto duly authorized. Anmerkungen :
------------------------------------------------------------------------------- Consumer Health Digest #02-27 Weekly Update of News and Reviews, July 2, 2002 Cell Tech and its owners in financial trouble. Reports in the Klamath Falls (Oregon) Herald and News indicate that Cell Tech's owners, Daryl and Marta Kollman, have been battling over their divorce and property rights for more than a year. [Gibson K., Hard times at Cell Tech, Herald and News, Jan 20, 2002] (http://news.mywebpal.com/news_tool_v2.cfm?pnpid=670&show=archivedetails&ArchiveID=726430&om=1) The reports state: * Court records and financial statements show that Cell Tech sold close to a billion dollars worth of algae products since its founding in 1982, grossing $200 million as recently as 1995. However, since 1997, gross product sales have fallen steadily from $125 million million in 1997 to $30 million in 2001 and the company has lost a total of $12 million from 1999 through 2001. * Cell Tech hasn't harvested algae for the past two seasons, relying on frozen inventory to supply customers. Its stock trades for a small fraction of what it once went for. * In 1996, Daryl Kollman pleaded guilty to a federal charge of tax evasion, was sentenced to 30 days in prison, and agreed to pay $20 million in back taxes and penalties, about $13 million of which is still owed. For further information, search the Herald and News (http://www.heraldandnews.com/) archives for "Kollman" and read the 10K and 10Q reports to the Securities and Exchange Commission that are accessible by searching Free Edgar (http://www.sec.gov/edgar/searchedgar/companysearch.html) for "Cell Tech." -------------------------------------------------------------------------------(Deutsche Übersetzung: http://www.mlm-beobachter.de/celltech/ncahf20020702.htm)
